Pride Fest Vendor Terms & Conditions

Henderson Pride Fest reserves the right to place Exhibitors on the Fest grounds according to a master plan. Therefore, any cancellations based on dissatisfaction of booth placement will subject Exhibitor to forfeiture of all booth fees and deposits.

As a 2023 Henderson Pride Fest Exhibitor, you agree to each of the following terms and conditions:

  1. MISSION: Applicant understands the mission of  Henderson Pride Fest is to foster pride, equality, and respect for all Lesbian, Gay, Bisexual, and Transgender communities, locally and globally, and agrees to do nothing to defeat this purpose during the term of this LICENSE TO OCCUPY.
  2. PHOTOGRAPHIC RIGHTS: Any reproduction, broadcast, or commercial use of any portion of the event, in any form without explicit written consent of Henderson Pride Fest is strictly prohibited. Henderson Pride Fest may, at its discretion, film, photocopy or tape any and all portions of the festival for commercial use.
  3. PRIDE LOGO / MARKS: The use of and any items containing any part of the event title and date or the words Henderson Pride Fest is strictly prohibited (unless Licensing Agreement has been approved, signed and additional fee has been paid).
  4. INDEPENDENT CONTRACTING: It is understood that the Exhibitor is an independent contractor, not an employee of Henderson Pride Fest. Nothing herein shall be construed to make a partnership, agency, or joint venture between the Exhibitor and Henderson Pride Fest.
  5. RENTED SPACE: All business or other activity must be conducted within the rented space only!
  6. ADULT ORIENTED MATERIALS: Due to the “family” nature of the festival, all adult oriented materials such as videos, adult toys, pictures with nudity, porn sites, etc., will not be allowed in Exhibitor booths.
  7. LIGHTING: NO lighting will be provided for exhibitors by Henderson Pride Fest. Exhibitors must provide any lighting to illuminate or accent your space needed throughout the weekend. If you have purchased electricity through your registration form, you will need to provide all necessary extension cords to plug any lights in the power source.
  8. SOUND SYSTEMS is a privilege. Systems may be confiscated where sound is audible more than 20 feet from the source. Don’t forget to purchase electricity if required.
  9. BALLOONS AND INFLATABLES: All balloons and inflatables are strictly prohibited.
  10. STORM WATER POLICY: It is illegal to pollute storm drains.  Exhibitors must dispose of all pollutants such as ice, trash, dirt, unfinished beverages and any other type of trash in the proper manner.  Failure to comply with Storm Drain protection WILL result in forfeiture of deposit and/or citations by city officials. If it is not rainwater, it is not allowed in the storm drain.
  11. NUDITY: Henderson Pride Fest reserves the right to limit public display or exhibition of any forms of nudity (pictures, sculptures, paintings, video or printed material, etc.).
  12. NO TAPE is permitted on any pop up material provided by Henderson Pride Fest or our vendors. This reduces the water repellent coating. String, wire, zip-ties etc. affixed to the tent pole framework is suggested.
  13. ALCOHOL: Alcohol beverage sales are prohibited. Sale of or giving away of alcoholic beverages is strictly prohibited. Consumption of alcoholic beverages by exhibitors at their booth is grounds for immediate expulsion and/or exclusion from participation at future events.
  14. CANNABIS: Selling, giving away, raffling, or distributing in any way products that contain any amount of THC is strictly prohibited. Consumption of THC in any form by exhibitors at the festival is grounds for immediate expulsion and/or exclusion from participation at future events. Approved cannabis exhibitors may sell, give away, or distribute products containing CBD according to Nevada State and Local Laws.
  15. BEVERAGE SALES: Due to sponsorship contractual arrangements, only Soda/Water booths or beverage bars allowed to sell or handout any types of beverage type of items at the fest.
  16. TRASH: Exhibitors MUST NOT put Exhibitor generated waste in cardboard trash receptacles provided for attendees. Any food/cooking, exhibitor waste found in cardboard trash containers provided for attendees will result in forfeiture of deposit. Exhibitors must provide trash receptacles for waste generated by their booth. Exhibitor trash bags, not weighing more than 25 pounds, left at the back of the rented space will be picked up and disposed of by Henderson Pride Fest. Oil may NOT be disposed of at the festival site. Improper bagging of food, food waste, oil disposal, oil left in space, excess trash, carpeting, quantities of brochures, large amounts of decorations will cause of your forfeit deposit. HELP US KEEP CITY HALL PLAZA CLEAN – leave your space as clean as it was when you arrived.
  17. BOOTH STAFFING: Fest hours are Saturday, 11:00am to 10:00pm and Friday, 5:00pm to 10:00pm. All exhibitor booths must be staffed during these hours. Failure to do so will result in forfeiture of your deposit. Henderson Pride Fest staff will be monitoring fest grounds. (NO EXCEPTIONS). Please provide your volunteers/staff a weekend telephone number to use if they have any questions.
  18. INDEMNIFICATION: Exhibitor covenants that it will protect, hold harmless & indemnify Henderson Pride Fest, the City of Henderson, Henderson Equality Center and its sponsors, officers, agents, and employees from any and all claims or liability for losses, injury or damages of any type arising out of or resulting from or in connection with the Exhibitor’s work, activities or participation in the Henderson Pride Fest events.  a. Henderson Pride Fest, City of Henderson, Henderson Equality Center and Sponsors are not liable for lost, damaged, or stolen exhibitor property. b. In the event of litigation, costs and attorney fees to prevailing party.
  19. WORKERS COMPENSATION INSURANCE: Exhibitor is responsible for workers compensation coverage for your staff. Henderson Pride Fest does not carry Workers Compensation Insurance for your crew.
  20. SECURITY: Henderson Pride Fest provides  overnight security and assumes no liability for property or equipment left on festival grounds. Exhibitors may leave items in their space overnight but Henderson Pride Fest accepts no responsibility for the security of said items. Cover all materials.
  21. PROMISE OF PROFIT: Henderson Pride Fest is planning what we hope will be a wonderful festival. We hope it will prove to be a fun and profitable experience for you, however, we cannot and do not guarantee your sales or profits.
  22. DEPOSITS: During and after the event, Henderson Pride Fest shall inspect your space to ensure it has been cleaned to the satisfaction of Henderson Pride Fest, and rentals have been properly returned. Deposits may be withheld at the discretion of Henderson Pride Fest for, but not limited to, failure to show, late arrival, early leaving, violation of TERMS & CONDITIONS, unauthorized sales, early load out and unattended or damaged booths. 
  23. NON-DISCRIMINATION: Henderson Pride Fest proudly does business with entities that do not discriminate on the basis of sexual orientation, gender identity, HIV status, sex, race, color, religious creed, marital status, ancestry, national origin, medical condition, pregnancy, disability, or age.
  24. FINAL AGREEMENT: This agreement is the final writing and supersedes any prior negotiations.

Additional Terms & Conditions for FOOD Exhibitors:

  1. All food items must be stored inside the allotted space, covered and off the ground as mandated by SNHD.
  2. Running water for cooking is not provided. You must bring your own water for cooking and hand washing. SNHD requires that you provide appropriate cleaning materials as well as a hand-washing setup.
  3. All Food Exhibitors using heat and/or open flames must: a) provide fireproof containers for discarding ashes, and b) one visibly mounted fire extinguisher rated 2A10BC. In addition, if you are deep frying food, you must also provide an extinguisher rated 2AK (class K). Please don’t forget to check the expiration date on your fire extinguisher!
  4. Containers of butane or fuel must be affixed to post or other secure item.
  5. It is the Food Exhibitors responsibility to make sure that all workers are familiar with these Terms and Conditions. Failure to comply with any one of these could result in forfeiture of your security deposit as well as exclusion from participation in future events. You might not be informed of an infraction during the festival as some determination occurs after the event.
  6. Standard festival trash containers MAY NOT BE UTILIZED for food waste. Improper trash disposal is grounds for deposit forfeiture.
  7. Food Exhibitors must post prices in a legible manner and in a visible space inside the booth only.
  8. All food Exhibitors must bring a spill kit and lay a tarp under the ENTIRE perimeter of your space. Exhibitors will be charged for cleaning any grease or oil spills or splatter which can often be in the hundreds of dollars.

      2. 1 gallon bucket with lid
      3. 5 lbs. cat litter bag
      4. 4 Terry Cloth Towels / 1 Roll Paper Towels
      5. 2 Black Trash Bags / 2 pairs of gloves
  9. Food Exhibitors may not sell bottled water or soda.

    Vendor will be responsible for

    1. Original Certificate of Insurance/Special Event Insurance naming Galleria Mall at Sunset, 1300 W Sunset Rd Henderson NV 89014 and Henderson Equality Center, 1490 W Sunset Rd, Suite 120 Henderson NV as

      “Additional Insured” in the amount of $1 million in public liability, bodily injury and product liability coverage for the

    2. Food Vendors Only: Copy of Southern Nevada Health District Permit for (Event Dates)
  1. Applicant is responsible for and must have all appropriate licenses and permits required by the city, county and state.
  2. VENDORS / Mandatory Vendor Check-In: TIME / DATE / LOCATION: Move-in begins after vendor has completed the check-in process. Applicant must be completely set up and ready for inspection by and ready to sell no later than 4pm on Friday and 10am on Saturday.

    Applicant is required to participate and operate for the duration of the event: (Event Dates / Times)
    Tear down is not permitted until the close of the event, after patrons have cleared the event area. Area will be completely torn down and cleared of all litter prior to (Time / Date). Early tear down / late clean-up will result in forfeit of vendor deposit.

  3. Each vendor is required to supply a banner or sign with the vendor’s name and/or logo and signage with approved menu/merchandise items to be sold along with pricing. No Hand Written Signs
  4. No vendor may conduct business “strolling” throughout the event grounds or post signage or advertising materials of any kind outside of their immediate per-assigned booth space. This includes any vehicles used for vendor’s advertising purposes, A- frame signs, banners, posters, flyers, etc. Failure could result in loss of deposit and/or dismissal from the event entirely. Menu/merchandise/pricing changes during the festival are unacceptable and may result in loss of vendor deposit and/or dismissal from the event without a refund.
  5. Each Food Vendor must furnish and maintain at least one 30-gallon trash container with liners for disposal of waste/trash created by/during operation of their business. Commercial Vendors are responsible for maintaining trash created within their vendor space as they see fit. Vendor is responsible for disposing in Dumpsters provided. Vendors are not to dump in general event trash barrels or leave trash in front of booth space at any time.
  6. All Food vendors must pass the Southern Nevada Health District (SNHD) inspection. A copy of the Quick Reference Checklist is available at southernnevadahealthdistrict.org or call 702-759-0501 with any questions. Failure to have the appropriate/approved equipment or failure to pass SNHD inspection, will result in loss of vendor deposit and could result in dismissal from event without a refund.
  7. Personal vehicles are not permitted in booth areas during event hours or for extended periods of time during event setup/take down. Due to limited vendor spacing, please respect the 20-minute loading/unloading rule, hand truck supplies to booth area whenever possible. Vendors are to park all vehicles including tow vehicles and trailers in general available parking areas or offsite. Non-compliance will result in loss of vendor deposit.

8. MANDATORY BOOTH MAINTENANCE:

  • Vendor tents are to be clean and clear of debris/particles, must be in sound/good working condition, and stable.
  • Waste water must be disposed of in gray water containers.
  • Used grease/oil must be properly disposed of offsite.
  • All garbage must be sealed in transportable containers/trash liners before disposing in garbage Dumpsters onsite.
  • All vendor equipment/supplies MUST fit within designate booth space/size allotted, if not, vendor will be required to purchase a larger booth space. (Areas behind or next to your assigned booth space or off limits)
  • Vendor booths are to be maintained and showcased in a professional, organized, tidy manner. Empty containers/boxes, or supplies stacked / piled behind booth space within site are NOT ACCEPTABLE.
  • Any violations of these rules will result in the forfeiture of vendor’s deposit.

GENERAL RULES & REGULATIONS

  1. Vendors are responsible for their own booth, equipment, setup and tear down. Spaces provided cannot be moved, relocated, sublet or resold. Vendors must conduct business only in the space provided and not throughout the event. Failure could result in loss of deposit.
  2. Vendors may not sell or display knives or weapons of any kind, along with any items deemed distasteful or non- family oriented. Additional prohibited products include but are not limited to products or services that are substantially derived from the sale of alcohol, drugs, tobacco, CBD, vapor products, gambling, firearms, or sexually explicit or inappropriate materials. Display or sale of these items will result in forfeiture of vendor deposit, possible dismissal from event without a refund, and possible non-acceptance for future events.
  3. Vendor booths/displays are prohibited from playing music of any kind, no smoking of any kind on fest grounds, no alcoholic beverage consumption within booth area, no inappropriate language, booth staff to be appropriately dressed / family friendly attire.
  4. Tents/booth/equipment are to be secured using weights, water barrels, buckets, sandbags, etc…, all of which vendor is responsible for supplying. There is no staking into the lawn/any ground areas, or tying off to any existing infrastructure, tree, power pole, etc.
  5. NEVADA SALES TAX: Vendors shall collect State of Nevada sales taxes amounting to 8.375% of gross sales. One Time Sales Tax Return Forms will be provided by Promoter. This form must be completed by vendor and returned to Promoter before leaving the event, even if no taxable sales were made or if applicant declares taxes quarterly or annually. Failure to do so may result in the loss of vendor deposit. Vendors shall be liable for all penalties, interest and fees that may be imposed by any agency for the collection of said taxes. If sales tax is not charged separately, vendor must post a sign stating “Sales Tax Included in Purchase Price.”
  6. All vendors are required to check out at the end of the event through the official checkout process. Vendors who do not check out at the end of the event understand it will result in forfeiture of vendor deposit and possible non-acceptance for future events.
  7. Only complete application packages will be considered for vendor acceptance. Remember to include vendor application, menu/merchandise list w/pricing, detailed power requirements, and required booth photographs.

REFERENCE: 2018 International Fire Code Section 319

  1. 2-A:10-B:C fire extinguisher; inspected and certified annually with a Nevada state fire marshal inspection tag; extinguisher shall be mounted.
  2. Class K fire extinguisher; inspected and certified annually with a Nevada state fire marshal inspection tag; extinguisher shall be mounted.
  3. Approved kitchen hood exhaust hood system; hood system shall be inspected, cleaned and tagged by professionals.
  4. Approved kitchen hood suppression system; suppression system shall be certified and inspected by a licensed contractor every 6 months.
  5. LP-Gas containers shall be securely mounted and restrained on vehicle.
  6. CNG containers shall be securely mounted and restrained on vehicle and shall not be installed in locations subject to direct vehicle impact.
  7. LPG / CNG gas piping, valves and fittings shall be protected against tampering, impact damage and damage from vibration.
  8. LP-Gas or methane gas (CNG) leak detection alarms shall be installed, maintained and inspected annually, tags and inspection report shall be kept in vehicle at all times.
  9. LP-Gas system piping and tanks shall be inspected annually by an approved inspection agency; inspection report and inspection tag shall remain in vehicle at all times.
  10. CNG containers shall be inspected every 3 years and shall not be used past the expiration date on the container; inspection report and inspection tag shall remain in the vehicle at all times.
  11. Generators shall maintain 10 feet of separation from exits, fresh air intakes, doors or windows. This is required to prevent exhaust gases from entering the mobile food vehicle.
  12. All food trucks shall maintain 10 feet of separation from all other food trucks.

IMPORTANT FIRE INSPECTION RULES REGULATIONS:

The City of Henderson Fire Safety Department will require a pre-event fire inspection for all food trucks and trailers prior to operating during a City of Henderson event. You will be required to coordinate a time and a day to have your food truck or trailer inspected prior to the event you are participating in. Failure to have your food truck/trailer inspected prior to the event could result in revocation of your privilege to operate during the event.

At the event, the City of Henderson Fire Inspector will be doing their general inspection of ALL Food Vendors to ensure they are in compliance with all Fire Regulations and will be placing an emphasis on the following:

Food Trucks:

1. Currently Serviced and tagged kitchen hood suppression system (6 month intervals)
2. Serviced and currently tagged K-Guard fire extinguisher (operations that produce grease laden vapors) 3. Currently tagged and serviced 2A10BC fire extinguisher
4. Generators not within 10ft of exits, air intakes, doors, or windows
5. Kitchen hoods shall be cleaned and tagged by a licensed professional
6. 10ft separation required between trucks

Non-food truck cooking operations:

  1. Serviced and currently tagged K-Guard fire extinguishers (operations that produce grease laden vapors)
  2. Currently tagged and service 2A10BC fire extinguisher
  3. Generator not within 20ft of tent or canopy
  4. Spare fuel 50ft from tent or stored offsite in secure location.
  5. Cooking inside tent/canopy is PERMITTED ; 20 feet of separation around entire cooking tent shall be provided. Cooking tent shall be in good working condition and maintained for cleanliness and safety.
  6. Propane tanks shall be restrained at all times

ACKNOWLEDGEMENT OF TERMS

Any Exhibitor who fails to comply with ANY of the provisions outlined herein shall be subject to the forfeiture of their deposit and any resultant damage in any amount in excess of said deposit. Any violation of the rules and regulations outlined herein will be grounds for revoking this LICENSE TO OCCUPY and Henderson Pride Fest reserves the right to retain booth fees and deposits.

I hereby warrant and confirm that the information provided on this application is, to the best of my knowledge, true and correct and agree to comply with the Terms & Conditions provided. It is agreed and understood that the completion of this application shall not be binding either to the proposed exhibitor or to Henderson Pride Fest, until accepted in writing by Henderson Pride Fest.
